Terms of Service
Draft for legal review. These terms reflect how Corr3ctive Action works today, but they aren’t final and aren’t yet in effect. Highlighted items need to be confirmed or filled in before launch.
1. The agreement
These terms are between [LEGAL ENTITY] (“we,” “us”) and the restaurant group or business that uses Corr3ctive Action (“customer,” “you”). If you accept them for a business, you confirm you’re authorized to bind it. A signed pilot agreement or order form takes priority over these terms where they conflict.
2. The service
Corr3ctive Action is software for documenting employee discipline. It includes incident logging (by tap or by voice), escalation ladders you configure, warning scripts and templates, manager and employee signatures, an append-only audit ledger, audit packets and role-based access. Features marked “coming soon” aren’t part of the service until they’re released.
The service recommends a next step based on the rules you set. It never issues discipline on its own. Every disciplinary decision is made by you.
3. Accounts and access
Accounts are invite-only. We approve each customer’s first owner, and the customer invites its own staff and assigns access levels. You’re responsible for who you invite, the access you grant, and activity under your accounts. Tell us promptly at [contact email] if you believe an account has been misused.
4. Your responsibilities
- Your discipline policies, escalation ladders, templates and decisions are yours, and must comply with the laws that apply to you.
- Record accurate, factual information, and only what’s needed to document conduct and performance. Leave out medical details and information about protected characteristics unless the law requires it.
- Give employees any notices the law requires about the records you keep.
- Keep your own records for as long as the law requires, including when a claim or charge is pending, and export them before your account ends.
- Corr3ctive Action doesn’t handle wages, tips, tip pools, dual-jobs tracking, overtime or payroll. Those remain your responsibility in the systems you use for them.
5. Not legal advice
Corr3ctive Action supports your documentation process. It isn’t legal advice, and we don’t guarantee the outcome of any unemployment claim, agency charge, lawsuit or other dispute. Talk to your own employment counsel about your policies and decisions.
6. Your records
You own the information you put into Corr3ctive Action. We use it only to provide and support the service, as described in our Privacy Policy. Signed records are append-only and can’t be edited after the fact. Every document can be printed or saved as a PDF, and audit packets can be exported at any time. [Retention and deletion terms after the record-retention changes are final, including what happens after an account closes.]
7. Pilots and fees
Pilots run under a separate pilot agreement that sets out scope, duration, fees and success measures. Fees for ongoing use are set in your order form. [Payment terms, renewal and taxes.]
8. Acceptable use
Don’t use the service to break the law, harass or retaliate against anyone, record information you have no lawful reason to keep, try to access another customer’s data, test or bypass security without our written permission, or resell the service.
9. Ownership
We own the service, including its software, design and templates. You get a right to use it for your business during your subscription. If you send us feedback, we may use it without obligation to you.
10. Disclaimers
We work to keep the service available and secure, but it’s provided “as is” and “as available,” without warranties of any kind beyond those stated in a signed agreement, to the extent the law allows. [Counsel to finalize.]
11. Limitation of liability
[Counsel to draft: cap on liability, exclusion of indirect damages, and any carve-outs.]
12. Term and termination
These terms apply while you use the service. Either party may end them as set out in your pilot agreement or order form. We may suspend access that threatens the security of the service or other customers, and we’ll tell you why. Before your account ends, you can export your records. [Export window and deletion timing.]
13. Governing law
These terms are governed by the laws of North Carolina. [Confirm venue and dispute process.]
14. Changes and contact
If we change these terms, we’ll update the effective date above and give customers notice of material changes before they take effect. Questions: [contact email], [mailing address].
